OVERVIEW

Liquid AI, Inc. ("Liquid AI") is hosting a series of virtual hackathons ("Contest") to encourage the development of local AI applications using the LEAP developer platform. Participation in a Contest constitutes entrant's full and unconditional agreement to these Official Rules.

CONTEST PERIOD

The Contest runs for the time period specified in the applicable official registration form posted at hackathons.liquid.ai (the "Contest Period").

ELIGIBILITY

The Contest is open to individuals and to teams of up to 3 people. Participants under 18 years of age must have parental or legal guardian consent to participate and claim prizes. Employees, officers, and directors of Liquid AI, their immediate family members (spouse, parents, siblings, and children), and employees, officers, and directors of any third-party sponsor or prize provider for the applicable Contest (and their immediate family members), are not eligible to participate. The Contest is void in U.S. embargoed countries and where prohibited by law.

HOW TO ENTER

To have a valid entry, participants must complete all of the following steps during the Contest Period:

  1. Complete the official registration form at hackathons.liquid.ai.
  2. Agree to these Official Rules via the checkbox on the registration form.
  3. Join the official Liquid AI Discord community.
  4. Submit all required project materials as detailed below.

Limit one (1) submission per person or team per Contest Period.

SUBMISSION REQUIREMENTS

All participants must submit the following to the designated channels in the Liquid AI Discord:

  • Public Submission: A screen recording (e.g., Loom) of the application and design screenshots.
  • Private Submission: A .zip file of the project's source code to verify the use of the LEAP platform.
  • Submissions must be original work and must not infringe upon the patent, copyright, trademark, or other intellectual property rights of any third party.

JUDGING AND PRIZES

The Contest prize(s) and winner(s) selection criteria are specified in the applicable official registration form posted at hackathons.liquid.ai.

Anti-Fraud: Liquid AI reserves the right to disqualify any entry suspected of using bots or other fraudulent means to manipulate contest metrics or gain unfair advantage in prize determinations. The decision of Liquid AI on the winner is final.

Prize Payout & Conditions

  • All prizes are awarded per submission. For team submissions, team members must confirm their prize allocation in writing prior to payment. Liquid AI will pay each team member directly according to the confirmed allocation.
  • As a condition of payment, potential winners will be required to sign and return a Prize Acceptance Agreement and provide all necessary payment and tax information (e.g., W-9 for U.S. persons, W-8BEN for non-U.S. persons). 
  • Each winner is solely responsible for reporting and paying any federal, state, local, or other taxes applicable to any prize received, including Third-Party Prizes. Liquid AI makes no representations regarding the tax treatment of any prize, and winners are encouraged to consult their own tax advisors.

Third-Party Prizes

  • Certain Contests may include prizes provided by third-party sponsors ("Third-Party Prizes"), such as platform credits, subscriptions, or other non-cash benefits. Third-Party Prizes are provided solely by the applicable third-party sponsor and are subject to that sponsor's terms of service, acceptable use policies, and any other conditions imposed by the sponsor.
  • Liquid AI makes no representations or warranties regarding any Third-Party Prize, including its availability, value, functionality, fitness for a particular purpose, or continued existence. Liquid AI is not responsible for any modification, suspension, or discontinuation of a Third-Party Prize by the applicable sponsor.
  • Any disputes regarding a Third-Party Prize must be directed to the applicable third-party sponsor. Liquid AI will have no obligation to replace, supplement, or compensate for any Third-Party Prize that is modified, reduced, or becomes unavailable for any reason.

INTELLECTUAL PROPERTY AND PUBLICITY

  • Participants retain full ownership of their intellectual property.
  • By entering, you grant Liquid AI a non-exclusive, worldwide, royalty-free license to use, reproduce, and display the public portions of your submission for promotional purposes, including in the LEAP Gallery, on Liquid AI's websites, and on social media channels. Participants may request removal of their project from the Gallery at any time.

DISCLAIMER OF WARRANTY; LIMITATION OF LIABILITY

No Warranties: THE CONTEST AND ALL PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LIQUID AI, ITS AFFILIATES, SUBSIDIARIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (COLLECTIVELY, THE "ORGANIZER PARTIES") WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) A PARTICIPANT'S ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE CONTEST; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE CONTEST; (III) ANY CONTENT OBTAINED FROM THE CONTEST; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF A PARTICIPANT'S TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT THE ORGANIZER PARTIES HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

INDEMNIFICATION

Each participant agrees to indemnify, defend, and hold harmless the Organizer Parties from and against any and all liabilities, damages, losses, costs, and expenses incurred in connection with any third-party claim arising out of or related to:

  • Participant's participation in the Contest;
  • Participant's violation of these rules, terms, and conditions; or
  • Any project or content that participant submits.

GENERAL CONDITIONS

These rules are governed by the laws of the Commonwealth of Massachusetts.
